From: Leslie Kish & Joshua Krekeler ONE NET> Date: 21 aug 1998 Subject: Announcing the Shogi Federation of America (charter draft) In order to bring about a unified organization for shogi players in America, representatives of various shogi clubs have created a pro tem organization to be known as the Shogi Federation of America. The exclusive purposes of the pro tem organization shall be to draft and adopt all necessary organizational instruments for the establishment of the permanent Shogi Federation of America and to elect its initial officers. The pro tem organization shall cease to exist, and this charter shall expire, immediately upon the faithful and efficient execution of those duties. It is understood that the adoption of the permanent organization's bylaws and the election of its officers is expected to occur at meetings on October 15th and 16th, 1998, and that the pro tem organization is not expected to operate beyond that time. The pro tem organization shall be open to all shogi players in America. The pro tem organization shall have two officers, the chairman and the secretary, who shall facilitate the discussion of the bylaws and related issues by physical and electronic mail, specifically on the electronic mailing list known as "Shogi Federation of America." In addition, the chairman shall: Call for votes on certain issues as he deems necessary; Determine the format and voting deadline, if appropriate, for each vote; Solicit and collect nominations for elected officers; Preside at all meetings of the assembly; Appoint a secretary to take minutes at meetings in the absence of the pro tem secretary; and perform other administrative duties as directed by the discussion participants. The secretary shall: Collect votes and announce vote results; Keep a detailed summary of all bylaws discussions; and maintain physical and electronic mailing lists for the pro tem organization. The chairman shall also, within a reasonable time, appoint a bylaws committee which shall be responsible for the language of the bylaws. The powers of the pro tem chairman and pro tem secretary shall cease immediately upon the adoption of the bylaws, at which time they shall pass respectively to the elected president and the elected secretary. Each discussion participant shall be entitled to one vote on all matters, including the election of officers, until the adoption of the bylaws. Thereafter, voting rights shall be as prescribed in the bylaws. Votes on all issues shall be decided, for or against, by a majority of all votes submitted. Voting by proxy shall be allowed at the discretion of the chairman. The elected offices of the permanent organization shall be named in the bylaws. Candidacy for these offices shall be contingent upon the submission of a written nomination to the chairman at least fourteen (14) days before the scheduled election.
